1. Agreement to these terms

By requesting access to or signing in to the mthd media client portal, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, do not use the portal or our services.

These terms apply to all clients, visitors, and users of the portal and the website located at mthd.media. References to "we," "us," or "our" refer to mthd media. References to "you" or "your" refer to the client or user.

2. Portal access & confidentiality

Access to the mthd media client portal is by invitation only. Your sign-in link (magic link) is private, single-use, and expires after 1 hour. You must not share your magic link, sign-in link, or any portal credentials with anyone outside your organization or the mthd media team.

You are responsible for maintaining the confidentiality of your account. If you believe your access has been compromised, contact us immediately at contact@mthd.media.

We reserve the right to revoke portal access at any time if we believe these terms have been violated or if the client relationship has ended.

3. Services

mthd media provides social media management services including strategy, content creation, scheduling, and account management. The specific scope, deliverables, and pricing for your engagement are defined in a separate service agreement or proposal communicated directly between mthd media and the client.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will not be liable for any interruption or change in services.

4. Content & intellectual property

Content created by mthd media on your behalf (including graphics, copy, videos, and strategy documents) remains the intellectual property of mthd media until full payment has been received. Upon payment, ownership of client-specific deliverables transfers to you.

Reports, analytics data, and portal materials made available to you are for your own business use only. You may not redistribute, resell, or publicly share portal content without prior written permission from mthd media.

You grant mthd media a non-exclusive license to use your brand assets, logos, and content solely for the purpose of delivering the agreed services.

5. Payments & cancellation

Payment terms are outlined in your individual service agreement. Invoices are due on the date specified. Late payments may result in a pause or suspension of services.

Ongoing services are billed monthly in advance via Stripe. Plan upgrades or downgrades may be requested through the client portal; approved changes take effect on the first day of the following month. Advertising spend is billed separately and is not included in plan pricing.

Either party may terminate services by providing written notice in accordance with the notice period in your service agreement. Upon termination, any outstanding invoices become immediately due.

6. Client responsibilities

You agree to:

  • Provide accurate information when requesting portal access or communicating with us.
  • Respond to requests for approvals, feedback, or assets within a reasonable timeframe.
  • Use the portal and our services only for lawful purposes.
  • Not attempt to gain unauthorized access to any part of the portal or our systems.
  • Not use the portal to transmit spam, malware, or any harmful content.

7. Limitation of liability

To the fullest extent permitted by law, mthd media will not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services or portal, including loss of revenue, data, or business opportunities.

Our total liability to you for any claim arising out of or in connection with our services will not exceed the total fees paid by you in the three months preceding the claim.

8. Privacy

Your use of the portal and website is also governed by our Privacy Policy, which is incorporated into these terms by reference. By agreeing to these terms, you also acknowledge our privacy practices.

9. Changes to these terms

We may update these terms from time to time. When we do, we will update the "Last updated" date above. Continued use of the portal or our services after any changes constitutes your acceptance of the updated terms. We will notify active clients of material changes via email.

10. Governing law

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law provisions. Any disputes arising from these terms or our services will be resolved in the courts of Loudoun County, Virginia.
